Code § 10A-2-10.08","heading":"Amendment Pursuant to Reorganization.","body":"REPEALED IN THE 2019 REGULAR SESSION BY ACT 2019-94 EFFECTIVE JANUARY 1, 2020. THIS IS NOT IN THE CURRENT CODE SUPPLEMENT.\n(a) A corporation’s articles of incorporation may be amended without action by the board of directors or shareholders to carry out a plan of reorganization ordered or decreed by a court of competent jurisdiction under federal statute if the articles of incorporation after amendment contain only provisions required or permitted by Section 10A-2-2.02.\n(b) The individual or individuals designated by the court shall deliver to the judge of probate for filing articles of amendment setting forth:\n(1) The name of the corporation;\n(2) The text of each amendment approved by the court;\n(3) The date of the court’s order or decree approving the articles of amendment;\n(4) The title of the reorganization proceeding in which the order or decree was entered; and\n(5) A statement that the court had jurisdiction of the proceeding under federal statute.\n(c) Shareholders of a corporation undergoing reorganization do not have dissenters’ rights except as and to the extent provided in the reorganization plan.\n(d) This section does not apply after entry of a final decree in the reorganization proceeding even though the court retains jurisdiction of the proceeding for limited purposes unrelated to consummation of the reorganization plan.","path":["Title 10A Alabama Business and Nonprofit Entities Code.","Chapter 2 Business Corporations.","Article 10 Amendment of Articles of Incorporation and Bylaws.","Division A Amendment of Articles of Incorporation."],"source_url":"https://alison.legislature.state.al.us/code-of-alabama?section=10A-2-10.08","current_through":"Act 2026-611","vintage":"","retrieved_at":"2026-09-03T14:01:53Z","sha256":"c7299c40e0dd3a53ec43816a4e13d1a52fecf4d5d7dff96cbdadb79cb41b77ed","source_id":"us-al","stale":false,"prev":"us-al/ala.-code-10a-2-10.07","next":"us-al/ala.-code-10a-2-10.09"},"notice":"GroundRules: Original legal text.
