Code § 10A-8A-8.04","heading":"Power to Bind Partnership After Dissolution.","body":"(a) After dissolution, a partnership is bound by the act of a partner or by the act of a dissociated partner acting as a partner under Section 10A-8A-8.03(a) which:\n(1) is appropriate for winding up the partnership’s business or not for profit activity; or\n(2) would have bound the partnership under Section 10A-8A-3.01 before dissolution, if, at the time the other party enters into the transaction, the other party does not have notice of the dissolution.\n(b) Subject to subsection (a), a person dissociated as a partner binds a partnership through an act occurring after dissolution only if:\n(1) at the time the other party enters into the transaction the other party does not have notice of the dissociation and reasonably believes that the person is a partner; and\n(2) the act:\n(A) is appropriate for winding up the partnership’s business or not for profit activity; or\n(B) would have bound the partnership under Section 10A-8A-3.01 before dissolution and at the time the other party enters into the transaction the other party does not have notice of the dissolution.","path":["Title 10A Alabama Business and Nonprofit Entities Code.","Chapter 8A Alabama Partnership Law","Article 8 Dissolution and Winding Up."],"source_url":"https://alison.legislature.state.al.us/code-of-alabama?section=10A-8A-8.04","current_through":"Act 2026-611","vintage":"","retrieved_at":"2026-09-03T14:01:53Z","sha256":"f99413e4123f897f67bd28040322035389331c8cd5348fb70987d42ad4169b9d","source_id":"us-al","stale":false,"prev":"us-al/ala.-code-10a-8a-8.03","next":"us-al/ala.-code-10a-8a-8.05"},"notice":"GroundRules: Original legal text.
