Code § 10A-9A-8.11","heading":"Certificate of Reinstatement.","body":"(a) In order to reinstate a limited partnership under this article, a certificate of reinstatement shall be delivered for filing to the Secretary of State which certificate of reinstatement shall have attached thereto a true and complete copy of the limited partnership’s certificate of formation. The certificate of reinstatement shall state:\n(1) the name of the limited partnership before reinstatement;\n(2) the name of the limited partnership following reinstatement, which limited partnership name shall comply with Section 10A-9A-8.12;\n(3) the date of formation of the limited partnership;\n(4) the date of dissolution of the limited partnership, if known;\n(5) a statement that all applicable conditions of Section 10A-9A-8.10 have been satisfied;\n(6) the address of the registered office and the name of the registered agent at that address in compliance with Article 5 of Chapter 1; and\n(7) the unique identifying number or other designation as assigned by the Secretary of State.\n(b) A limited partnership shall not be required to file a statement of dissolution in order to file a certificate of reinstatement.\n(c) A certificate of reinstatement shall be deemed to be a filing instrument under Chapter 1.","path":["Title 10A Alabama Business and Nonprofit Entities Code.","Chapter 9A Alabama Limited Partnership Law.","Article 8 Dissolution and Winding Up."],"source_url":"https://alison.legislature.state.al.us/code-of-alabama?section=10A-9A-8.11","current_through":"Act 2026-611","vintage":"","retrieved_at":"2026-09-03T14:01:53Z","sha256":"621a87ab9d67ccb305cb59d244aa61c85917991c2dcf59910734d4c6a2d18d27","source_id":"us-al","stale":false,"prev":"us-al/ala.-code-10a-9a-8.10","next":"us-al/ala.-code-10a-9a-8.12"},"notice":"GroundRules: Original legal text.
