Code § 40-18-172","heading":"“Post-Termination Transition Period” and “Determination” Defined.","body":"(a) For purposes of this article, the term “post-termination transition period” means:\n(1) The period beginning on the day after the last day of the corporation’s last taxable year as an Alabama S corporation and ending on the later of:\na. The day which is one year after the last day.\nb. The due date for filing the return for the last year as an Alabama S corporation, including extensions.\n(2) The 120-day period beginning on the date of a determination pursuant to an audit of the taxpayer which follows the termination of the corporation’s election to be treated as a federal S corporation and which adjusts a subchapter S item of income, loss, or deduction of the corporation arising during the S period.\n(3) The 120-day period beginning on the date of a determination that the corporation’s election under 26 U.S.C. § 1362 had terminated for a previous taxable year.\n(b) For purposes of subsection (a), the term “determination” means:\n(1) A determination as defined in 26 U.S.C. § 1313(a); or\n(2) An agreement between the corporation and the U.S. Secretary of the Treasury that the corporation failed to qualify as an S corporation.","path":["Title 40 Revenue and Taxation.","Chapter 18 Income Taxes.","Article 6 Alabama S Corporations."],"source_url":"https://alison.legislature.state.al.us/code-of-alabama?section=40-18-172","current_through":"Act 2026-611","vintage":"","retrieved_at":"2026-09-03T14:01:52Z","sha256":"a0012f219e1ad2e5441ee5b0194b6561271a02e932cfe32a80a80413f55d2f17","source_id":"us-al","stale":false,"prev":"us-al/ala.-code-40-18-171","next":"us-al/ala.-code-40-18-173"},"notice":"GroundRules: Original legal text.
