Code Ann. § 4-46-805","heading":"Statement of dissolution","body":"(a) After dissolution, a partner who has not wrongfully dissociated may file a statement of dissolution stating the name of the partnership and that the partnership has dissolved and is winding up its business.\n\n(b) A statement of dissolution cancels a filed statement of partnership authority for the purposes of § 4-46-303(d) and is a limitation on authority for the purposes of § 4-46-303(e) .\n\n(c) For the purposes of §§ 4-46-301 and 4-46-804 , a person not a partner is deemed to have notice of the dissolution and the limitation on the partners' authority as a result of the statement of dissolution ninety (90) days after it is filed.\n\n(d) After filing and, if appropriate, recording a statement of dissolution, a dissolved partnership may file and, if appropriate, record a statement of partnership authority which will operate with respect to a person not a partner as provided in § 4-46-303(d) and (e) in any transaction, whether or not the transaction is appropriate for winding up the partnership business.","path":["AR Code","Title 4","Chapter 46","Subchapter 8"],"source_url":"https://oss-data-us.vaquill.ai/v2026.08/us_ar_statutes.parquet","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:41Z","sha256":"0be6d2e206c2e18df8c4053f4f0c7a4715b1a462e632de80e5eeef8481e7b154","source_id":"us-ar","stale":false,"prev":"us-ar/ark.-code-ann.-4-46-804","next":"us-ar/ark.-code-ann.-4-46-806"},"notice":"GroundRules: Original legal text.
