{"data":{"id":"us-co/c.r.s.-7-108-202","jurisdiction":"us-co","citation":"C.R.S. § 7-108-202","heading":"Action without meeting.","body":"(1) Unless the bylaws require that the action be taken at a meeting, any action required or permitted by articles 101 to 117 of this title to be taken at a board of directors' meeting may be taken without a meeting if all members of the board consent to such action in writing.\n\n(2) Action is taken under this section at the time the last director signs a writing describing the action taken, unless, before such time, any director has revoked the director's consent by a writing signed by the director and received by the secretary or any other person authorized by the bylaws or the board of directors to receive such a revocation.\n\n(3) Action under this section is effective at the time it is taken as provided by subsection (2) of this section, unless the directors establish a different effective date.\n\n(4) Action taken pursuant to this section has the same effect as action taken at a meeting of directors and may be described as such in any document.","path":["Title 7 - CORPORATIONS AND ASSOCIATIONS","Article 108 - Directors and Officers","Part 2 - MEETINGS AND ACTION OF THE DIRECTORS"],"source_url":"https://olls.info/crs/crs2026-title-07.htm","current_through":"Colorado Revised Statutes 2026","vintage":"","retrieved_at":"2026-09-14T18:37:45Z","sha256":"2f3509a79f4dc933204b87f4a32c3272e82897e07eb38b4d80a9ca13c9c0c7d3","source_id":"us-co","stale":false,"prev":"us-co/c.r.s.-7-108-201","next":"us-co/c.r.s.-7-108-203"},"notice":"GroundRules: Original legal text.
