{"data":{"id":"us-co/c.r.s.-7-58-809","jurisdiction":"us-co","citation":"C.R.S. § 7-58-809","heading":"Vacancy on board.","body":"(1) Unless the articles or bylaws otherwise provide, a vacancy on the board of directors must be filled:\n\n(a) Within a reasonable time by majority vote of the remaining directors, until the next annual members meeting or a special meeting of members is called to fill the vacancy; and\n\n(b) For the balance of the unexpired term by members at the next annual members meeting or a special meeting of members called to fill the vacancy.\n\n(2) Unless the articles or bylaws otherwise provide, if a vacating director was elected or appointed by a class of members or a district:\n\n(a) The new director must be of that class or district; and\n\n(b) The selection of the director for the unexpired term must be conducted in the same manner as would the selection for that position without a vacancy.\n\n(3) If a member appointed a vacating director, the articles or bylaws may provide for that member to appoint a director to fill the vacancy.","path":["Title 7 - CORPORATIONS AND ASSOCIATIONS","Article 58 - Uniform Limited Cooperative Association Act","Part 8 - DIRECTORS AND OFFICERS"],"source_url":"https://olls.info/crs/crs2026-title-07.htm","current_through":"Colorado Revised Statutes 2026","vintage":"","retrieved_at":"2026-09-14T18:37:45Z","sha256":"d51404bd437cd732b7f6603b946091e32d4a23acd71b8ba1f6cf1158f23e5817","source_id":"us-co","stale":false,"prev":"us-co/c.r.s.-7-58-808","next":"us-co/c.r.s.-7-58-810"},"notice":"GroundRules: Original legal text.
