{"data":{"id":"us-co/c.r.s.-7-80-401","jurisdiction":"us-co","citation":"C.R.S. § 7-80-401","heading":"Management of limited liability company.","body":"(1) Except as provided in subsection (2) of this section, decisions with respect to a limited liability company shall be made by a majority of the members or, if the limited liability company has one or more managers, by a majority of the managers.\n\n(2) The consent of each member is necessary to:\n\n(a) Amend the articles of organization;\n\n(b) Amend the operating agreement; and\n\n(c) Authorize an act of the limited liability company that is not in the ordinary course of the business of the limited liability company.\n\n(3) A person or persons who will be admitted as a member or members pursuant to section 7-80-701 (2) may, by unanimous consent, amend the operating agreement to be effective immediately before the admission of the person or persons.","path":["Title 7 - CORPORATIONS AND ASSOCIATIONS","Article 80 - Limited Liability Companies","Part 4 - MANAGEMENT"],"source_url":"https://olls.info/crs/crs2026-title-07.htm","current_through":"Colorado Revised Statutes 2026","vintage":"","retrieved_at":"2026-09-14T18:37:45Z","sha256":"1a7056370658e61d70aad461c06489a98c6aff7097e9be94e46b8e94bb8219a1","source_id":"us-co","stale":false,"prev":"us-co/c.r.s.-7-80-301","next":"us-co/c.r.s.-7-80-402"},"notice":"GroundRules: Original legal text.
