Code § 29-703.01","heading":"Becoming limited partner.","body":"(a)\nA person becomes a limited partner:\n(1)\nUpon formation as provided in the partnership agreement; or\n(2)\nAfter formation, a person becomes a limited partner:\n(A)\nAs provided in the partnership agreement;\n(B)\nAs the result of a merger under subchapter X of this chapter or a transaction under Chapter 2 of this title;\n(C)\nWith the consent of all the partners; or\n(D)\nAs provided in § 29-708.01(4).\n\n(b)\nA person may become a limited partner without:\n(1)\nAcquiring a transferable interest; or\n(2)\nMaking or being obligated to make a contribution to the limited partnership.","path":["Title 29.
