Code § 29-704.01","heading":"Becoming general partner.","body":"(a)\nA person becomes a general partner:\n(1)\nUpon formation of a limited partnership, as agreed among the persons that are to be the initial partners; and\n(2)\nAfter formation:\n(A)\nAs provided in the partnership agreement;\n(B)\nUnder § 29-708.01(3)(B) following the dissociation of a limited partnership’s last general partner;\n(C)\nAs the result of a merger under subchapter X of this chapter or a transaction under Chapter 2 of this title; or\n(D)\nWith the consent of all the partners.\n(3)\nAs the result of a merger under subchapter X of this chapter or a transaction under Chapter 2 of this title; or\n(4)\nWith the consent of all the partners.\n\n(b)\nA person may become a general partner without:\n(1)\nAcquiring a transferable interest; or\n(2)\nMaking or being obligated to make a contribution to the partnership.","path":["Title 29.
