Code § 31-4444","heading":"Procedure for merger of domestic companies.","body":"(a)\nTwo or more domestic life companies may merge into 1 company.\n\n(b)\nThe board of directors of each company shall, by resolution adopted by a majority vote of the members of the boards, approve a plan of merger that lists the following:\n(1)\nThe names of the companies proposing to merge.\n(2)\nThe name of the surviving company the merging companies would become.\n(3)\nThe terms and the conditions of the proposed merger.\n(4)\nThe manner and the basis of converting the shares or memberships of each merging company into:\n(A)\nShares, memberships, or other securities of the surviving company.\n(B)\nShares or other securities of another company.\n(C)\nCash or property.\n(5)\nChanges in the articles of incorporation of the surviving company.\n(6)\nOther provisions with respect to the proposed merger as are deemed necessary or desirable.","path":["Title 31.
