Code § 31-4445","heading":"Procedure for consolidating domestic companies.","body":"(a)\nTwo or more domestic life companies may consolidate into a new company.\n\n(b)\nTo consolidate, the board of directors of each consolidating company, by resolution adopted by majority vote of the members of the boards, shall approve a plan of consolidation listing the following:\n(1)\nThe names of the companies proposing to consolidate.\n(2)\nThe name of the new company into which they propose to consolidate.\n(3)\nThe terms and conditions of the proposed consolidation.\n(4)\nThe manner and the basis of converting the shares or memberships of each company into:\n(A)\nShares, memberships, or other securities of the new company.\n(B)\nShares or other securities of another company.\n(C)\nCash or property.\n(5)\nThe articles of incorporation for domestic companies organized under this chapter.\n(6)\nOther provisions with respect to the proposed consolidation as are deemed necessary or desirable.","path":["Title 31.
