Stat. § 605.2206","heading":"Information required in annual report; failure to comply.","body":"(1) In the annual report required by s. 605.0212, a series limited liability company shall include the name of each protected series of the company:\n(a) For which the series limited liability company has previously delivered to the department for filing a protected series designation; and\n(b) Which has not dissolved and completed winding up.\n(2) The failure of a series limited liability company to comply with subsection (1) with regard to a protected series prevents issuance of a certificate of status pertaining to the protected series, but does not otherwise affect the protected series.\n(3) In the annual report required by s. 605.0212, a registered foreign series limited liability company shall include the name of each registered foreign protected series of the registered foreign series limited liability company:\n(a) For which the registered foreign series limited liability company has previously delivered to the department for filing an application for a certificate of authority to transact business in this state, which has been accepted by the department; and\n(b) Which has not withdrawn its certificate of authority to transact business in this state.\n(4) The failure of a registered foreign series limited liability company to comply with subsection (3) with regard to a registered foreign protected series prevents issuance of a certificate of status pertaining to the registered foreign protected series.\nHistory.—s. 18, ch. 2025-162.","path":["TITLE XXXVI BUSINESS ORGANIZATIONS","CHAPTER 605 FLORIDA REVISED LIMITED LIABILITY COMPANY ACT"],"source_url":"https://www.leg.state.fl.us/statutes/index.cfm?App_mode=Display_Statute\u0026URL=0600-0699/0605/0605.html","current_through":"2026 Florida Statutes","vintage":"","retrieved_at":"2026-08-27T02:10:17Z","sha256":"e3a9c28bbb2ab6a69ecd130f3fb393744d81c023acf9461be5bf11b8092fd541","source_id":"us-fl","stale":false,"prev":"us-fl/fla.-stat.-605.2205","next":"us-fl/fla.-stat.-605.2301"},"notice":"GroundRules: Original legal text.
