Stat. § 605.2305","heading":"Right of a person that is not an associated member of a protected series to information of a protected series.","body":"(1) A member of a series limited liability company which is not an associated member of a protected series of the company has a right to information concerning the protected series to the same extent, in the same manner, and under the same conditions that a member that is not a manager of a manager-managed limited liability company has a right to information of the company under s. 605.0410(1) and (3)(b).\n(2) A person that was formerly an associated member of a protected series has a right to information concerning the protected series to the same extent, in the same manner, and under the same conditions that a person dissociated as a member of a manager-managed limited liability company has a right to information concerning the limited liability company under s. 605.0410(4) or other applicable law.\n(3) If an associated member of a protected series dies, the legal representative of the deceased associated member has a right to information concerning the protected series to the same extent, in the same manner, and under the same conditions that the legal representative of a deceased member of a limited liability company has a right to information concerning the company under ss. 605.0410(9) and 605.0504.\n(4) A protected-series manager of a protected series has a right to information concerning the protected series to the same extent, in the same manner, and under the same conditions that a manager of a manager-managed limited liability company has a right to information concerning the company under s. 605.0410(3)(a).\n(5) The court-ordered inspection provisions of s. 605.0411 apply to the information rights regarding series limited liability companies and protected series of such companies.\nHistory.—s. 23, ch. 2025-162.","path":["TITLE XXXVI BUSINESS ORGANIZATIONS","CHAPTER 605 FLORIDA REVISED LIMITED LIABILITY COMPANY ACT"],"source_url":"https://www.leg.state.fl.us/statutes/index.cfm?App_mode=Display_Statute\u0026URL=0600-0699/0605/0605.html","current_through":"2026 Florida Statutes","vintage":"","retrieved_at":"2026-08-27T02:10:17Z","sha256":"f288602debd950beae7796ca4af2de20aa083ca67e12c92183a25e90b56064fd","source_id":"us-fl","stale":false,"prev":"us-fl/fla.-stat.-605.2304","next":"us-fl/fla.-stat.-605.2401"},"notice":"GroundRules: Original legal text.
