{"data":{"id":"us-ga/o.c.g.a.-14-2-1503","jurisdiction":"us-ga","citation":"O.C.G.A. § 14-2-1503","heading":"Application for certificate of authority.","body":"(a) A foreign corporation may apply for a certificate of authority to transact business in this state by delivering an application to the Secretary of State for filing. The application must set forth:\n(1) The name of the foreign corporation or, if its name is unavailable for use in this state, a corporate name that satisfies the requirements of Code Section 14-2-1506;\n(2) The name of the state or country under whose law it is incorporated;\n(3) Its date of incorporation;\n(4) The mailing address of its principal office;\n(5) The address of its registered office in this state and the name of its registered agent at that office; and\n(6) The names and respective business addresses of its chief executive officer, chief financial officer, and secretary, or individuals holding similar positions.\n(b) The foreign corporation shall deliver with the completed application a certificate of existence (or a document of similar import) duly authenticated by the secretary of state or other official having custody of corporate records in the state or country under whose law it is incorporated.","path":["TITLE 14 Corporations, Partnerships, and Associations","CHAPTER 2 Business Corporations","Article 15 Foreign Corporations","PART 1 Certificate of Authority"],"source_url":"https://archive.org/download/gov.ga.ocga.2018/release86.2022.11/gov.ga.ocga.title.14.odt","current_through":"Release 86 (2022-11)","vintage":"Public.Resource.Org bulk O.C.G.A., Release 86 (2022-11), retrieved 2026-09-17","retrieved_at":"2026-09-17T19:34:57Z","sha256":"0a0c59909aac9bd99fd0e83910a2eb94ed3d595a11a708fd42f1fbb1d57e3946","source_id":"us-ga","stale":false,"prev":"us-ga/o.c.g.a.-14-2-1502","next":"us-ga/o.c.g.a.-14-2-1504"},"notice":"GroundRules: Original legal text.
