{"data":{"id":"us-ga/o.c.g.a.-46-3-299","jurisdiction":"us-ga","citation":"O.C.G.A. § 46-3-299","heading":"Action by directors without a meeting.","body":"Unless otherwise provided by the articles of incorporation or bylaws, any action required by this article to be taken at a meeting of the directors of an electric membership corporation or any action which may be taken at a meeting of the directors or of a committee may be taken without a meeting if written consent setting forth the action so taken is signed by all the directors or by all of the members of the committee, as the case may be, and is filed with the minutes of the proceedings of the board or the committee.
