{"data":{"id":"us-gu/18-gca-17809","jurisdiction":"us-gu","citation":"18 GCA § 17809","heading":"Vacancy on Board.","body":"(a) Unless the organic rules otherwise provide, a vacancy on the board of directors must be filled:\n(1) within a reasonable time by majority vote of the remaining directors until the next annual members meeting or a special meeting of members called to fill the vacancy; and\n(2) for the unexpired term by members at the next annual members meeting or a special meeting of members called to fill the vacancy.\n(b) Unless the organic rules or bylaws otherwise provide, if a vacating director was elected or appointed by a class of members or a district:\n(1) the new director must be of that class or district; and\n(2) the selection of the director for the unexpired term must be conducted in the same manner as would the selection for that position without a vacancy.\n(c) If a member appointed a vacating director, the organic rules may provide for that member to appoint a director to fill the vacancy.","path":["Title 18: Business Structure and Function","Division 1 - Business Structure","Part 2 - Special Corporate Forms","Chapter 17: Guam Uniform Limited Cooperative Association Act","ARTICLE 8: DIRECTORS AND OFFICERS"],"source_url":"https://col.guamcourts.gov/sites/default/files/18gc017.pdf","current_through":"P.L. 38-133 (June 4, 2026)","vintage":"","retrieved_at":"2026-09-27T03:54:38Z","sha256":"aab266257464241b2fc582688ea166261bc614e25e26ce49ebc232b69fa862ca","source_id":"us-gu","stale":false,"prev":"us-gu/18-gca-17808","next":"us-gu/18-gca-17810"},"notice":"GroundRules: Original legal text.
