Stat. § 414-247","heading":"Officers.","body":"(a) A corporation may indemnify and advance expenses under this subpart to an officer of the corporation who is a party to a proceeding because the officer is an officer of the corporation:\n\n(1) To the same extent as a director; and\n\n(2) If the person is an officer but not a director, to such further extent as may be provided by the articles of incorporation, the bylaws, a resolution of the board of directors, or contract except for:\n\n(A) Liability in connection with a proceeding by or in the right of the corporation other than for reasonable expenses incurred in connection with the proceeding; or\n\n(B) Liability arising out of conduct that constitutes:\n\n(i) Receipt by the officer of a financial benefit to which the officer is not entitled;\n\n(ii) An intentional infliction of harm on the corporation or the shareholders; or\n\n(iii) An intentional violation of criminal law.\n\n(b) Subsection (a)(2) shall apply to an officer who is also a director if the basis on which the officer is made a party to the proceeding is an act or omission solely as an officer.\n\n(c) An officer of a corporation who is not a director is entitled to mandatory indemnification under section 414-243, and may apply to a court under section 414-245 for indemnification or an advance for expenses, in each case to the same extent to which a director may be entitled to indemnification or advance for expenses under those provisions.","path":["HI Code","Division 2","Title 23","Chapter 414"],"source_url":"http://www.capitol.hawaii.gov/hrscurrent/Vol08_Ch0401-0429/HRS0414/HRS_0414-0247.htm","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:11Z","sha256":"8b79f316c7ba334e3213f814d1ec844786615a0c98cf4fb67294577c2e5249d6","source_id":"us-hi","stale":false,"prev":"us-hi/haw.-rev.-stat.-414-246","next":"us-hi/haw.-rev.-stat.-414-248"},"notice":"GroundRules: Original legal text.
