Stat. § 414D-185","heading":"Amendment pursuant to judicial reorganization.","body":"(a) A corporation's articles may be amended without board approval or approval by the members or approval required pursuant to section 414D-188 to carry out a plan of reorganization ordered or decreed by a court of competent jurisdiction under federal statute if the articles after amendment contain only provisions required or permitted by section 414D-32.\n\n(b) The individual or individuals designated by the court shall deliver to the department director articles of amendment setting forth:\n\n(1) The name of the corporation;\n\n(2) The text of each amendment approved by the court;\n\n(3) The date of the court's order or decree approving the articles of amendment;\n\n(4) The title of the reorganization proceeding in which the order or decree was entered; and\n\n(5) A statement that the court had jurisdiction of the proceeding under federal statute.\n\n(c) This section shall not apply after entry of a final decree in the reorganization proceeding even though the court retains jurisdiction of the proceeding for limited purposes unrelated to consummation of the reorganization plan.","path":["HI Code","Division 2","Title 23","Chapter 414D"],"source_url":"http://www.capitol.hawaii.gov/hrscurrent/Vol08_Ch0401-0429/HRS0414D/HRS_0414D-0185.htm","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:11Z","sha256":"9526aa0ef2ca93945240ec7cf75605ceb290fab06f85e4f95653b1ff584c0a12","source_id":"us-hi","stale":false,"prev":"us-hi/haw.-rev.-stat.-414d-184","next":"us-hi/haw.-rev.-stat.-414d-186"},"notice":"GroundRules: Original legal text.
