Stat. § 420D-6","heading":"Standard of conduct for directors.","body":"(a) In discharging the duties of their respective positions, the board of directors, committees of the board, and individual directors of a sustainable business corporation, in considering the best interests of the sustainable business corporation:\n\n(1) Shall consider the effects of any action of the sustainable business corporation upon:\n\n(A) The shareholders of the sustainable business corporation; and\n\n(B) The accomplishment of general and specific public benefits set forth in the sustainable business corporation's purposes; and\n\n(2) May consider:\n\n(A) The employees and workforce of the sustainable business corporation and its subsidiaries and suppliers;\n\n(B) The interests of customers as beneficiaries of the general or specific public benefit purposes of the sustainable business corporation;\n\n(C) Community and societal considerations, including those of any community in which offices or facilities of the sustainable business corporation or its subsidiaries or suppliers are located;\n\n(D) The local and global environment;\n\n(E) The short-term and long-term interests of the sustainable business corporation, including benefits that may accrue to the sustainable business corporation from its long-term plans and the possibility that these interests may be best served by the continued independence of the sustainable business corporation;\n\n(F) The ability of the sustainable business corporation to accomplish its general public benefit purpose and any specific public benefit purpose;\n\n(G) The resources, intent, and conduct of any person seeking to acquire control of the corporation; and\n\n(H) Any other pertinent factors or the interests of any other group that they deem appropriate.\n\n(b) A director shall not be personally liable for monetary damages for any action taken as a director if the director performed the duties of the director's office in compliance with the general standards of conduct pursuant to section 414-221.","path":["HI Code","Division 2","Title 23","Chapter 420D"],"source_url":"http://www.capitol.hawaii.gov/hrscurrent/Vol08_Ch0401-0429/HRS0420D/HRS_0420D-0006.htm","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:11Z","sha256":"41d8c91a07c778f2c7b83e0a8a640bdeb242b783d5960d5c9a792ef8b2727694","source_id":"us-hi","stale":false,"prev":"us-hi/haw.-rev.-stat.-420d-5","next":"us-hi/haw.-rev.-stat.-420d-7"},"notice":"GroundRules: Original legal text.
