Stat. § 425-161","heading":"Foreign limited liability partnerships; effect of failure to qualify.","body":"(a) A foreign limited liability partnership engaged in the transaction of business in this State shall not maintain an action or proceeding in this State unless it has in effect a statement of foreign qualification.\n\n(b) The failure of a foreign limited liability partnership to have in effect a statement of foreign qualification shall not impair the validity of a contract or act of the foreign limited liability partnership or preclude it from defending an action or proceeding in this State.\n\n(c) A limitation on personal liability of a partner is not waived solely by the transaction of business in this State without a statement of foreign qualification.\n\n(d) If a foreign limited liability partnership transacts business in this State without a statement of foreign qualification, the director shall be its agent for service of process with respect to a right of action arising out of a business transaction in this State.","path":["HI Code","Division 2","Title 23","Chapter 425"],"source_url":"http://www.capitol.hawaii.gov/hrscurrent/Vol08_Ch0401-0429/HRS0425/HRS_0425-0161.htm","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:11Z","sha256":"27ee14b64b1e27c408fe1b4ce92f6a7491bdd250811d6ff687d66f83314de309","source_id":"us-hi","stale":false,"prev":"us-hi/haw.-rev.-stat.-425-160","next":"us-hi/haw.-rev.-stat.-425-162"},"notice":"GroundRules: Original legal text.
