Stat. § 425-162","heading":"Foreign limited liability partnerships; activities not constituting the transaction of business.","body":"(a) Activities of a foreign limited liability partnership that do not constitute the transaction of business include:\n\n(1) Maintaining, defending, or settling an action or proceeding;\n\n(2) Holding meetings of its partners or carrying on any other activity concerning its affairs;\n\n(3) Maintaining bank accounts;\n\n(4) Maintaining offices or agencies for the transfer, exchange, and registration of the partnership's own securities, or maintaining trustees or depositories with respect to those securities;\n\n(5) Selling through independent contractors;\n\n(6) Soliciting or obtaining orders, whether by mail or through employees, agents, or otherwise, if the orders require acceptance outside this State before they become contracts;\n\n(7) Creating or acquiring indebtedness, with or without a mortgage, or other security interest in property;\n\n(8) Collecting debts or foreclosing mortgages or other security interests in property securing the debts, and holding, protecting, and maintaining property so acquired;\n\n(9) Conducting an isolated transaction that is completed within thirty days and is not one in the course of similar transactions; and\n\n(10) Transacting business in interstate commerce.\n\n(b) The ownership in this State of income-producing real property or income-producing tangible personal property, other than property excluded under subsection (a), constitutes the transaction of business in this State.\n\n(c) This section shall not apply to a determination of contracts or activities that may subject a foreign limited liability partnership to service of process, taxation, or regulation under any other law of this State.","path":["HI Code","Division 2","Title 23","Chapter 425"],"source_url":"http://www.capitol.hawaii.gov/hrscurrent/Vol08_Ch0401-0429/HRS0425/HRS_0425-0162.htm","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:11Z","sha256":"88c31a91f9fe1e96de088328267766c545c972b716c34cac9ce8631e7fa69704","source_id":"us-hi","stale":false,"prev":"us-hi/haw.-rev.-stat.-425-161","next":"us-hi/haw.-rev.-stat.-425-163"},"notice":"GroundRules: Original legal text.
