Stat. § 425E-804","heading":"Power of general partner and person dissociated as general partner to bind partnership after dissolution.","body":"(a) A limited partnership shall be bound by a general partner's act after dissolution that:\n\n(1) Is appropriate for winding up the limited partnership's activities; or\n\n(2) Would have bound the limited partnership under section 425E-402 before dissolution, if, at the time the other party enters into the transaction, the other party does not have notice of the dissolution.\n\n(b) A person dissociated as a general partner binds a limited partnership through an act occurring after dissolution if:\n\n(1) At the time the other party enters into the transaction:\n\n(A) Less than two years has passed since the dissociation; and\n\n(B) The other party does not have notice of the dissociation and reasonably believes that the person is a general partner; and\n\n(2) The act:\n\n(A) Is appropriate for winding up the limited partnership's activities; or\n\n(B) Would have bound the limited partnership under section 425E-402 before dissolution and at the time the other party enters into the transaction the other party does not have notice of the dissolution.","path":["HI Code","Division 2","Title 23","Chapter 425E"],"source_url":"http://www.capitol.hawaii.gov/hrscurrent/Vol08_Ch0401-0429/HRS0425E/HRS_0425E-0804.htm","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:11Z","sha256":"d8c0f7ebbea65c4569feed26f527637b4b1e7cd1e81c9e637a015429a90b14f5","source_id":"us-hi","stale":false,"prev":"us-hi/haw.-rev.-stat.-425e-803","next":"us-hi/haw.-rev.-stat.-425e-805"},"notice":"GroundRules: Original legal text.
