Stat. § 425E-906","heading":"Cancellation of certificate of authority.","body":"(a) The director may cancel the certificate of authority of a limited partnership administratively if:\n\n(1) The partnership fails to:\n\n(A) Pay any fees prescribed by law;\n\n(B) File its annual statement for a period of two years;\n\n(C) Appoint and maintain an agent for service of process as required by chapter 425R; or\n\n(D) File a statement of a change in the name or business address of the agent as required by section 425R-7; or\n\n(2) A misrepresentation has been made of any material matter in any application, report, affidavit, or other record or document submitted by the partnership.\n\n(b) Cancellation of a certificate of authority shall not relieve the general partners of liability for the penalties for failure to file any statement or certificate required by this chapter.","path":["HI Code","Division 2","Title 23","Chapter 425E"],"source_url":"http://www.capitol.hawaii.gov/hrscurrent/Vol08_Ch0401-0429/HRS0425E/HRS_0425E-0906.htm","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:11Z","sha256":"ba1addc3278761e0ca2e8b665da7c270821b3185109c4acc0757c0b8e0a2426b","source_id":"us-hi","stale":false,"prev":"us-hi/haw.-rev.-stat.-425e-905","next":"us-hi/haw.-rev.-stat.-425e-907"},"notice":"GroundRules: Original legal text.
