Stat. § 428-203","heading":"Articles of organization.","body":"(a) Articles of organization of a limited liability company shall set forth:\n\n(1) The name of the company;\n\n(2) The mailing address of the company's initial principal office and the information required by section 425R-4(a);\n\n(3) The name and address of each organizer;\n\n(4) Whether the duration of the company is for a specified term and, if so, the period specified;\n\n(5) Whether the company is to be manager-managed, and:\n\n(A) If so, the name and address of each initial manager, and the number of initial members; or\n\n(B) If not, the name and address of each initial member; and\n\n(6) Whether the members of the company are to be liable for its debts and obligations under section 428-303(c).\n\n(b) Articles of organization of a limited liability company may set forth:\n\n(1) Provisions permitted to be set forth in an operating agreement; or\n\n(2) Other matters not inconsistent with law.\n\n(c) Articles of organization of a limited liability company may not vary the nonwaivable provisions of section 428-103(b). As to all other matters, if any provision of an operating agreement is inconsistent with the articles of organization:\n\n(1) The operating agreement controls as to managers, members, and members' transferees; and\n\n(2) The articles of organization control as to persons other than managers, members, and their transferees who rely on the articles to their detriment.\n\n(d) The duration of a limited liability company is at-will unless a term for its duration is specified in its articles of organization.","path":["HI Code","Division 2","Title 23A","Chapter 428"],"source_url":"http://www.capitol.hawaii.gov/hrscurrent/Vol08_Ch0401-0429/HRS0428/HRS_0428-0203.htm","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:11Z","sha256":"42a9d11066757ebaaf6339339d8e3b74b0acecd41db2c157ea892317eee8f8b6","source_id":"us-hi","stale":false,"prev":"us-hi/haw.-rev.-stat.-428-202","next":"us-hi/haw.-rev.-stat.-428-204"},"notice":"GroundRules: Original legal text.
