Stat. § 428-403","heading":"Member's and manager's rights to payments and reimbursement.","body":"(a) A limited liability company shall reimburse a member or manager for payments made and indemnify a member or manager for liabilities incurred by the member or manager in the ordinary course of the business of the company or for the preservation of its business or property.\n\n(b) A limited liability company shall reimburse a member for any advance to the company which exceeds the amount of contribution the member agreed to make.\n\n(c) A payment or advance made by a member which gives rise to an obligation of a limited liability company under subsection (a) or (b) constitutes a loan to the company upon which interest accrues from the date of the payment or advance.\n\n(d) A member is not entitled to remuneration for services performed for a limited liability company, except for reasonable compensation for services rendered in winding up the business of the company.","path":["HI Code","Division 2","Title 23A","Chapter 428"],"source_url":"http://www.capitol.hawaii.gov/hrscurrent/Vol08_Ch0401-0429/HRS0428/HRS_0428-0403.htm","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:11Z","sha256":"108a792ddd5fa57598eb38dd3ae9db2f9f00feba322955ea9d238d571a097e63","source_id":"us-hi","stale":false,"prev":"us-hi/haw.-rev.-stat.-428-402","next":"us-hi/haw.-rev.-stat.-428-404"},"notice":"GroundRules: Original legal text.
