Stat. § 428-802","heading":"Limited liability company continues after dissolution.","body":"(a) Subject to subsection (b), a limited liability company continues after dissolution only for the purpose of winding up its business.\n\n(b) At any time after the dissolution of a limited liability company and before the winding up of its business is completed, the members, including a dissociated member whose dissociation caused the dissolution, may unanimously waive the right to have the company's business wound up and the company terminated. In that case:\n\n(1) The limited liability company resumes carrying on its business as if dissolution had never occurred and any liability incurred by the company or a member after the dissolution and before the waiver is determined as if the dissolution had never occurred; and\n\n(2) The rights of a third party accruing under section 428-804(a) or arising out of conduct in reliance on the dissolution before the third party knew or received a notification of the waiver are not adversely affected.","path":["HI Code","Division 2","Title 23A","Chapter 428"],"source_url":"http://www.capitol.hawaii.gov/hrscurrent/Vol08_Ch0401-0429/HRS0428/HRS_0428-0802.htm","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:11Z","sha256":"dab765c6d17ce1aa6974e29c2ec7eef4b9a6fbb5d70c6a6ef6b3b3c16a45929b","source_id":"us-hi","stale":false,"prev":"us-hi/haw.-rev.-stat.-428-704","next":"us-hi/haw.-rev.-stat.-428-803"},"notice":"GroundRules: Original legal text.
