Stat. § 490:8-208","heading":"Effect of signature of authenticating trustee, registrar, or transfer agent.","body":"(a) A person signing a security certificate as authenticating trustee, registrar, transfer agent, or the like, warrants to a purchaser for value of the certificated security, if the purchaser is without notice of a particular defect, that:\n\n(1) The certificate is genuine;\n\n(2) The person's own participation in the issue of the security is within the person's capacity and within the scope of the authority received by the person from the issuer; and\n\n(3) The person has reasonable grounds to believe that the certificated security is in the form and within the amount the issuer is authorized to issue.\n\n(b) Unless otherwise agreed, a person signing under subsection (a) does not assume responsibility for the validity of the security in other respects.","path":["Hawaii Code","Division 2","Title 27","Chapter 490"],"source_url":"http://www.capitol.hawaii.gov/hrscurrent/Vol11_Ch0476-0490/HRS0490/HRS_0490-0008-0208.htm","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:11Z","sha256":"eec9588cbcc4391459c92c285451781ba76b505202c85e0ca34918159851b862","source_id":"us-hi","stale":false,"prev":"us-hi/haw.-rev.-stat.-490-8-207","next":"us-hi/haw.-rev.-stat.-490-8-209"},"notice":"GroundRules: Original legal text.
