{"data":{"id":"us-id/idaho-code-30-24-202","jurisdiction":"us-id","citation":"Idaho Code § 30-24-202","heading":"AMENDMENT OR RESTATEMENT OF CERTIFICATE OF LIMITED PARTNERSHIP.","body":"(a) A certificate of limited partnership may be amended or restated at any time.\n(b) To amend its certificate of limited partnership, a limited partnership must deliver to the secretary of state for filing an amendment stating:\n(1) The name of the partnership;\n(2) The date of filing of its initial certificate; and\n(3) The text of the amendment.\n(c) To restate its certificate of limited partnership, a limited partnership must deliver to the secretary of state for filing a restatement designated as such in its heading.\n(d) A limited partnership shall promptly deliver to the secretary of state for filing an amendment to a certificate of limited partnership to reflect:\n(1) The admission of a new general partner;\n(2) The dissociation of a person as a general partner; or\n(3) The appointment of a person to wind up the limited partnership’s activities and affairs under section 30-24-802(c) or (d), Idaho Code.\n(e) If a general partner knows that any information in a filed certificate of limited partnership was inaccurate when the certificate was filed or has become inaccurate due to changed circumstances, the general partner shall promptly:\n(1) Cause the certificate to be amended; or\n(2) If appropriate, deliver to the secretary of state for filing a statement of change under section 30-21-407, Idaho Code, or a statement of correction under section 30-21-205, Idaho Code.","path":["TITLE 30 CORPORATIONS","CHAPTER 24 LIMITED PARTNERSHIPS","PART 2 FORMATION; CERTIFICATE OF LIMITED PARTNERSHIP AND OTHER FILINGS"],"source_url":"https://legislature.idaho.gov/statutesrules/idstat/title30/t30ch24/sect30-24-202/","current_through":"2026 Legislative Session","vintage":"","retrieved_at":"2026-09-04T11:18:36Z","sha256":"17c4c180438484a7ac4864e14b234b3623e6c4b506ecd3c565c1231a5a3edc13","source_id":"us-id","stale":false,"prev":"us-id/idaho-code-30-24-201","next":"us-id/idaho-code-30-24-203"},"notice":"GroundRules: Original legal text.
