{"data":{"id":"us-id/idaho-code-30-24-607","jurisdiction":"us-id","citation":"Idaho Code § 30-24-607","heading":"LIABILITY OF PERSON DISSOCIATED AS GENERAL PARTNER to other persons.","body":"(a) A person’s dissociation as a general partner does not of itself discharge the person’s liability as a general partner for a debt, obligation, or other liability of the limited partnership incurred before dissociation. Except as otherwise provided in subsections (b) and (c) of this section, the person is not liable for a limited partnership obligation incurred after dissociation.\n(b) A person whose dissociation as a general partner results in a dissolution and winding up of the limited partnership’s activities and affairs is liable on an obligation incurred by the limited partnership under section 30-24-805, Idaho Code, to the same extent as a general partner under section 30-24-404, Idaho Code.\n(c) A person that is dissociated as a general partner without the dissociation resulting in a dissolution and winding up of the limited partnership’s activities and affairs is liable on a transaction entered into by the partnership after the dissociation only if:\n(1) A general partner would be liable on the transaction; and\n(2) At the time the other party enters into the transaction:\n(A) Less than two (2) years has passed since the dissociation; and\n(B) The other party does not have knowledge or notice of the dissociation and reasonably believes that the person is a general partner.\n(d) By agreement with a creditor of a limited partnership and the partnership, a person dissociated as a general partner may be released from liability for a debt, obligation, or other liability of the partnership.\n(e) A person dissociated as a general partner is released from liability for a debt, obligation, or other liability of the limited partnership if the partnership’s creditor, with knowledge or notice of the person’s dissociation as a general partner but without the person’s consent, agrees to a material alteration in the nature or time of payment of the debt, obligation, or other liability.","path":["TITLE 30 CORPORATIONS","CHAPTER 24 LIMITED PARTNERSHIPS","PART 6 DISSOCIATION"],"source_url":"https://legislature.idaho.gov/statutesrules/idstat/title30/t30ch24/sect30-24-607/","current_through":"2026 Legislative Session","vintage":"","retrieved_at":"2026-09-04T11:18:37Z","sha256":"27878a2cf71ee0e506c9c98112762ee074d85e0b2a84c2ae70c7a340b3847337","source_id":"us-id","stale":false,"prev":"us-id/idaho-code-30-24-606","next":"us-id/idaho-code-30-24-701"},"notice":"GroundRules: Original legal text.
