{"data":{"id":"us-id/idaho-code-30-24-804","jurisdiction":"us-id","citation":"Idaho Code § 30-24-804","heading":"POWER TO BIND PARTNERSHIP AFTER DISSOLUTION.","body":"(a) A limited partnership is bound by a general partner’s act after dissolution which:\n(1) Is appropriate for winding up the partnership’s activities and affairs; or\n(2) Would have bound the partnership under section 30-24-402, Idaho Code, before dissolution, if, at the time the other party enters into the transaction, the other party does not know or have notice of the dissolution.\n(b) A person dissociated as a general partner binds a limited partnership through an act occurring after dissolution if:\n(1) At the time the other party enters into the transaction:\n(A) Less than two (2) years has passed since the dissociation; and\n(B) The other party does not know or have notice of the dissociation and reasonably believes that the person is a general partner; and\n(2) The act:\n(A) Is appropriate for winding up the partnership’s activities and affairs; or\n(B) Would have bound the partnership under section 30-24-402, Idaho Code, before dissolution and at the time the other party enters into the transaction the other party does not know or have notice of the dissolution.","path":["TITLE 30 CORPORATIONS","CHAPTER 24 LIMITED PARTNERSHIPS","PART 8 DISSOLUTION AND WINDING UP"],"source_url":"https://legislature.idaho.gov/statutesrules/idstat/title30/t30ch24/sect30-24-804/","current_through":"2026 Legislative Session","vintage":"","retrieved_at":"2026-09-04T11:18:37Z","sha256":"298c0e24ee6e79711cee9a9ea709a6fac2ccb0382bdc44f2f907c3c65ee9a27d","source_id":"us-id","stale":false,"prev":"us-id/idaho-code-30-24-803","next":"us-id/idaho-code-30-24-805"},"notice":"GroundRules: Original legal text.
