{"data":{"id":"us-id/idaho-code-30-29-1020","jurisdiction":"us-id","citation":"Idaho Code § 30-29-1020","heading":"authority to amend.","body":"(a) A corporation’s shareholders may amend or repeal the corporation’s bylaws.\n(b) A corporation’s board of directors may amend or repeal the corporation’s bylaws unless:\n(1) The articles of incorporation, section 30-29-1021, Idaho Code, or, if applicable, section 30-29-1022, Idaho Code, reserve that power exclusively to the shareholders in whole or part; or\n(2) Except as provided in section 30-29-206(d), Idaho Code, the shareholders in amending, repealing, or adopting a bylaw expressly provide that the board of directors may not amend, repeal, or adopt that bylaw.\n(c) A shareholder of the corporation does not have a vested property right resulting from any provision in the bylaws.","path":["TITLE 30 CORPORATIONS","CHAPTER 29 GENERAL BUSINESS CORPORATIONS","PART 10 AMENDMENT OF ARTICLES OF INCORPORATION AND BYLAWS"],"source_url":"https://legislature.idaho.gov/statutesrules/idstat/title30/t30ch29/sect30-29-1020/","current_through":"2026 Legislative Session","vintage":"","retrieved_at":"2026-09-04T11:18:41Z","sha256":"74eede79b5dfe608318fe6bd113bbc3cd11ba08a14ad6a3f42277c5bbcaf34e0","source_id":"us-id","stale":false,"prev":"us-id/idaho-code-30-29-1009","next":"us-id/idaho-code-30-29-1021"},"notice":"GroundRules: Original legal text.
