{"data":{"id":"us-id/idaho-code-30-29-1401","jurisdiction":"us-id","citation":"Idaho Code § 30-29-1401","heading":"DISSOLUTION BY INCORPORATORS OR INITIAL DIRECTORS.","body":"A majority of the incorporators or initial directors of a corporation that has not issued shares or has not commenced business may dissolve the corporation by delivering to the secretary of state for filing articles of dissolution that set forth:\n(a) The name of the corporation;\n(b) The date of its incorporation;\n(c) Either:\n(1) That none of the corporation’s shares has been issued; or\n(2) That the corporation has not commenced business;\n(d) That no debt of the corporation remains unpaid;\n(e) That the net assets of the corporation remaining after winding up have been distributed to the shareholders, if shares were issued; and\n(f) That a majority of the incorporators or initial directors authorized the dissolution.","path":["TITLE 30 CORPORATIONS","CHAPTER 29 GENERAL BUSINESS CORPORATIONS","PART 14 DISSOLUTION"],"source_url":"https://legislature.idaho.gov/statutesrules/idstat/title30/t30ch29/sect30-29-1401/","current_through":"2026 Legislative Session","vintage":"","retrieved_at":"2026-09-04T11:18:41Z","sha256":"834af7034ec85b431e044284bcbe67a46005a0af95e986339ae0b11459051f30","source_id":"us-id","stale":false,"prev":"us-id/idaho-code-30-29-1340","next":"us-id/idaho-code-30-29-1402"},"notice":"GroundRules: Original legal text.
