{"data":{"id":"us-id/idaho-code-30-30-1004","jurisdiction":"us-id","citation":"Idaho Code § 30-30-1004","heading":"Effect of dissolution.","body":"(1) A dissolved corporation continues its corporate existence but may not carry on any activities except those appropriate to wind up and liquidate its affairs, including:\n(a) Preserving and protecting its assets and minimizing its liabilities;\n(b) Discharging or making provision for discharging its liabilities and obligations;\n(c) Disposing of its properties that will not be distributed in kind;\n(d) Returning, transferring or conveying assets held by the corporation upon a condition requiring return, transfer or conveyance, which condition occurs by reason of the dissolution, in accordance with such condition;\n(e) Transferring, subject to any contractual or legal requirements, its assets as provided in or authorized by its articles of incorporation or bylaws;\n(f) If no provision has been made in its articles or bylaws for distribution of assets on dissolution, it may transfer, subject to any contractual or legal requirement, its assets:\n(i) To one (1) or more persons described in section 501(c)(3) of the Internal Revenue Code; or\n(ii) To its members or, if it has no members, to those persons whom the corporation holds itself out as benefiting or serving; and\n(g) Doing every other act necessary to wind up and liquidate its assets and affairs.\n(2) Dissolution of a corporation does not:\n(a) Transfer title to the corporation’s property;\n(b) Subject its directors or officers to standards of conduct different from those prescribed in sections 30-30-618 and 30-30-623, Idaho Code;\n(c) Change quorum or voting requirements for its board or members; change provisions for selection, resignation or removal of its directors or officers or both; or change provisions for amending its bylaws;\n(d) Prevent commencement of a proceeding by or against the corporation in its corporate name;\n(e) Abate or suspend a proceeding pending by or against the corporation on the effective date of dissolution; or\n(f) Terminate the authority of the registered agent.","path":["TITLE 30 CORPORATIONS","CHAPTER 30 IDAHO NONPROFIT CORPORATION ACT","PART 10 DISSOLUTION"],"source_url":"https://legislature.idaho.gov/statutesrules/idstat/title30/t30ch30/sect30-30-1004/","current_through":"2026 Legislative Session","vintage":"","retrieved_at":"2026-09-04T11:18:44Z","sha256":"1f25c957bd07f049030cc7d467927d87004a2e6ee654df772739a89b667a3180","source_id":"us-id","stale":false,"prev":"us-id/idaho-code-30-30-1003","next":"us-id/idaho-code-30-30-1005"},"notice":"GroundRules: Original legal text.
