{"data":{"id":"us-id/idaho-code-43-204b","jurisdiction":"us-id","citation":"Idaho Code § 43-204B","heading":"Bylaw limiting director liability authorized.","body":"The bylaws of the district may set forth a provision eliminating or limiting the personal liability of a director to the district or its qualified electors for monetary damages for breach of fiduciary duty as a director, provided that such provision shall not eliminate or limit the liability of a director:\n(a) For any breach of the director’s duty of loyalty to the district or its qualified electors.\n(b) For acts or omissions not in good faith or which involve intentional misconduct or a knowing violation of law.\n(c) For any transaction from which the director derived an improper personal benefit.\nNo such provision shall eliminate or limit the liability of a director for any act or omission occurring prior to the date when such provision becomes effective.","path":["TITLE 43 IRRIGATION DISTRICTS","CHAPTER 2 ELECTION OF DIRECTORS"],"source_url":"https://legislature.idaho.gov/statutesrules/idstat/title43/t43ch2/sect43-204b/","current_through":"2026 Legislative Session","vintage":"","retrieved_at":"2026-09-04T11:21:36Z","sha256":"1598a65c265571777255d01c359a8cf17dfd1f228ef8660986d8f36e7d2f16c9","source_id":"us-id","stale":false,"prev":"us-id/idaho-code-43-204a","next":"us-id/idaho-code-43-205"},"notice":"GroundRules: Original legal text.
