{"data":{"id":"us-il/805-ilcs-40-4.20","jurisdiction":"us-il","citation":"805 ILCS 40/4.20","heading":"Right of action; benefit enforcement proceeding.","body":"(a) No person may bring an action or assert a claim against a benefit corporation or its directors or officers with respect to failure to pursue or create general public benefit or a specific public benefit set forth in its articles of incorporation or violation of a duty or standard of conduct under this Act except in a benefit enforcement proceeding.\n(b) A benefit enforcement proceeding may be commenced or maintained only:\n(1) directly by the benefit corporation; or\n(2) derivatively by:\n(A) a shareholder;\n(B) a director;\n(C) a person or group of persons that owns beneficially or of record 5% or more of the equity interests in an entity of which the benefit corporation is a subsidiary; or\n(D) other persons as specified in the articles of incorporation or bylaws of the benefit corporation.\n(c) A benefit corporation shall not be liable for monetary damages under this Act for any failure of the benefit corporation to pursue or create general public benefit or a specific public benefit.","path":["CHAPTER 805 BUSINESS ORGANIZATIONS","Benefit Corporation Act."],"source_url":"https://www.ilga.gov/legislation/ILCS/details?ActID=3419\u0026ChapterID=65\u0026ChapAct=FullText\u0026Print=True","current_through":"at least Public Act 104-790","vintage":"","retrieved_at":"2026-09-15T04:46:47Z","sha256":"2638678b4c175ba01db45f8af86ac20f7d0773e3c7ff9e7b0234acc844f6088b","source_id":"us-il","stale":false,"prev":"us-il/805-ilcs-40-4.15","next":"us-il/805-ilcs-40-5.01"},"notice":"GroundRules: Original legal text.
