{"data":{"id":"us-ky/krs-14a.2-130","jurisdiction":"us-ky","citation":"KRS 14A.2-130","heading":"Certificate of existence.","body":"(1) Anyone may apply to the Secretary of State to furnish a certificate of existence for\nan entity.\n(2) A certificate of existence shall set forth:\n(a) The entity's real name;\n(b) That the entity was duly organized under the laws of this Commonwealth, the\ndate of its organization, and the period of its duration if less than perpetual;\n(c) That no articles of dissolution, statement of cancellation, or document of\nsimilar import is effective;\n(d) That all fees, taxes, and penalties owed to this Commonwealth have been\npaid, if:\n1. Payment is reflected in the records of the Secretary of State; and\n2. Nonpayment affects the existence of the entity;\n(e) That its most recent annual report required by KRS 14A.6 -010 or predecessor\nlaw has been filed by the Secretary of State; and\n(f) Subject to KRS 14A.2 -120(3), other facts of record in the office of the\nSecretary of State that may be requested by the applicant.\n(3) Subject to any qualification stated in the certificate, a certificate of existence issued\nby the Secretary of State may be relied upon as conclusive evidence that the entity is\nin existence.\n(4) This section shall not apply to:\n(a) Partnerships organized pursuant to KRS Chapter 362 or 362.1;\n(b) Limited partnerships other than those subject to KRS Chapter 362.2;\n(c) Business trusts governed as to their internal affairs by KRS Chapter 386; or\n(d) An individual series of a series entity.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=40420","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:48:32Z","sha256":"e778fc3e3fa88975770242e5109c868807513958c51090a35edd8ce995a92dab","source_id":"us-ky","stale":false,"prev":"us-ky/krs-14a.2-120","next":"us-ky/krs-14a.2-140"},"notice":"GroundRules: Original legal text.
