{"data":{"id":"us-ky/krs-14a.2-140","jurisdiction":"us-ky","citation":"KRS 14A.2-140","heading":"Certificate of authorization.","body":"(1) Anyone may apply to the Secretary of State to furnish a certificate of authorization\nfor a foreign entity.\n(2) A certificate of authorization shall set forth:\n(a) The foreign entity's real name and, if applicable, its fictitious name as adopted\nfor use in this Commonwealth;\n(b) That the foreign entity is authorized to transact business in this\nCommonwealth;\n(c) That all fees, taxes, and penalties owed to this Commonwealth have been\npaid, if:\n1. Payment is reflected in the records of the Secretary of State; and\n2. Nonpayment affects the authorization of the foreign entity to transact\nbusiness in this Commonwealth;\n(d) That its most recent annual report required by KRS 14A.6 -010 or predecessor\nlaw has been filed by the Secretary of State;\n(e) That no certifica te of withdrawal or document of similar import under prior\nlaw has been filed; and\n(f) Other facts of record in the office of the Secretary of State that may be\nrequested by the applicant.\n(3) Subject to any qualification stated in the certificate, a certi ficate of authorization\nissued by the Secretary of State may be relied upon as conclusive evidence that the\nforeign entity is authorized to transact business in this Commonwealth.\n(4) This section shall not apply to:\n(a) A foreign partnership except as provided in KRS 14A.9-030(5);\n(b) A foreign rural telephone cooperative or foreign rural electric cooperative not\nobligated to qualify to transact business by filing an application for a\ncertificate of authority or document of similar import with the Secretary of\nState; or\n(c) An individual series of a series entity.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=40421","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:48:32Z","sha256":"0f86bca8fa89e3e3c454431c3f2455611a9979eb445e41ee6a60ef270cf3f84d","source_id":"us-ky","stale":false,"prev":"us-ky/krs-14a.2-130","next":"us-ky/krs-14a.2-150"},"notice":"GroundRules: Original legal text.
