{"data":{"id":"us-ky/krs-14a.6-010","jurisdiction":"us-ky","citation":"KRS 14A.6-010","heading":"Annual report.","body":"(1) Each  entity and each foreign entity authorized to transact business in this\nCommonwealth  shall deliver to the Secretary of State for filing an annual report\nthat sets forth:\n(a) The  name  of the entity or foreign entity and the state or country under\nwhose  law it is organized;\n(b) The address of its registered office and the name  of its registered agent\nat that office in this Commonwealth;\n(c) The address of its principal office; and\n(d) With respect to each:\n1. Corporation, not-for-profit corporation, cooperative, association, or\nlimited cooperative association, whether domestic or foreign:\na. The  name  and business address of the secretary or other\nofficer with responsibility for authenticating the records of the\nentity;\nb. The name and business address of each other principal officer;\nand\nc. The name and business address of each director;\n2. Manager-managed  limited liability company, whether domestic or\nforeign, the name and business address of each manager;\n3. Limited partnership, whether domestic or foreign, the name  and\nbusiness address of each general partner;\n4. Business trust, whether domestic or foreign, the name and business\naddress of each trustee;\n5. Professional service corporation, domestic or foreign, a statement\nthat each of the shareholders, not less than one-half (1/2) of the\ndirectors, and each of the officers other than secretary and treasurer\nis a qualified person; and\n6. Unincorporated nonprofit association, the name  and  business\naddress of each manager.\n(2) Information in the annual report shall be current as of the date the annual\nreport is executed on behalf of the entity or foreign entity.\n(3) The  first annual report shall be delivered to the Secretary of State between\nJanuary 1 and June 30 of the year following the calendar year in which an\nentity was organized or a foreign entity was authorized to transact business in\nthis state. Subsequent annual reports shall be delivered to the Secretary of\nState between January 1 and June 30 of each following calendar year.\n(4) If an annual report does not contain the information required by this section,\nthe Secretary of State shall promptly notify the entity or foreign entity in writing\nand  return the report to it for correction, which  notification may  be\naccomplished electronically. For purposes of KRS  14A.2-130 or 14A.2-140, an\nannual report returned for correction shall not be deemed  to have been\ndelivered until it is returned and accepted by the Secretary of State.\n(5) An  entity or foreign entity may amend  the information in its last filed annual\nreport by delivery of an amendment  to the annual report to the Secretary of\nState for filing on such form as is provided by the Secretary of State.\n(6) An  unincorporated nonprofit association that has  filed a  certificate of\nassociation is subject to this section.\n(7) The requirement to file an annual report shall not apply to:\n(a) A  limited partnership governed as to its internal affairs by the Kentucky\nUniform Limited Partnership Act as it existed prior to its repeal by 1988\nKy. Acts ch. 284, sec. 65;\n(b) A  partnership other than a limited liability partnership that has filed a\nstatement of qualification pursuant to KRS  362.1-951 or a foreign limited\nliability partnership;\n(c) A foreign rural electric cooperative or foreign rural telephone cooperative\nnot required to qualify to transact business by a filing with the Secretary of\nState; or\n(d) An  unincorporated nonprofit association that has not filed a certificate of\nassociation.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=47075","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:48:32Z","sha256":"7845b68cbe393a218c78d99ef9a8da5722f055e65b920a1b711308657578dfd8","source_id":"us-ky","stale":false,"prev":"us-ky/krs-14a.5-010","next":"us-ky/krs-14a.7-010"},"notice":"GroundRules: Original legal text.
