{"data":{"id":"us-ky/krs-14a.9-060","jurisdiction":"us-ky","citation":"KRS 14A.9-060","heading":"Withdrawal of foreign entity.","body":"(1) A foreign entity authorized to transact business in this Commonwealth shall not\nwithdraw from this Commonwealth until there has been filed with the Secretary of\nState a certificate of withdrawal.\n(2) A foreign entity authorized to transact business in this  Commonwealth may submit\na certificate of withdrawal for filing by delivering it to the Secretary of State. The\ncertificate shall set forth:\n(a) The real name of the foreign entity and, if applicable, the fictitious name\nunder which it has qualified to transact business in this Commonwealth;\n(b) The name of the state or country under whose law it is organized;\n(c) That it is not transacting business in this Commonwealth and that it surrenders\nits authority to transact business in this Commonwealth;\n(d) That it revokes the authority of its registered agent to accept service on its\nbehalf and appoints the Secretary of State as its agent for service of process in\nany proceeding based on a cause of action arising consequent to having\ntransacted business in this Commonwealth;\n(e) A mailing address to which the Secretary of State may mail a copy of any\nprocess served on the Secretary of State under paragraph (d) of this\nsubsection; and\n(f) A commitment to notify the Secretary of State in the future of any change in\nits mailing address.\n(3) A certificate of withdrawal shall be deemed amended by the filing of a change in\nmailing address delivered pursuant to subsection (2)(f) of this section.\n(4) After the certificate of withdrawal of the foreign entity is effective, service of\nprocess on the Secretary of State under this section shall be service on the foreign\nentity. Upon receipt of process, the Secretary of State shall mail a copy of the\nprocess to the foreign entity at the address set forth under subsection (2)(e) of this\nsection.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=36573","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:48:32Z","sha256":"8f6aa3183fcda8321874f9c7d631faa7abbdb23f70f52a9a7dda3785ce85c38b","source_id":"us-ky","stale":false,"prev":"us-ky/krs-14a.9-050","next":"us-ky/krs-14a.9-070"},"notice":"GroundRules: Original legal text.
