{"data":{"id":"us-ky/krs-155.120","jurisdiction":"us-ky","citation":"KRS 155.120","heading":"Amendment of articles of incorporation.","body":"(1) Articles of incorporation may be amended by the votes of the stockholders and the\nmembers of the corporation, voting separately by classes, and such amendments\nshall require approval by the affirmative vote of two -thirds (2/3) of the votes to\nwhich the sto ckholders are entitled and two -thirds (2/3) of the votes to which the\nmembers are entitled; provided, that no amendment of the articles of incorporation\nwhich is inconsistent with the general purposes expressed herein or which\nauthorizes any additional class of capital stock to be issued, shall be made.\n(2) Within thirty (30) days after any meeting at which amendment of the articles of\nincorporation has been adopted, articles of amendment signed and sworn to by the\npresident, treasurer and a majority of the  directors, setting forth such amendment\nand the due adoption thereof, shall be submitted to the Secretary of State, as\nprovided in KRS Chapter 271B.","path":["KRS Chapter 155"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=3065","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:50:58Z","sha256":"3db992fcdab11d046e0127b31b77505cd3726574879ebee0738dffcd50e6fcb7","source_id":"us-ky","stale":false,"prev":"us-ky/krs-155.110","next":"us-ky/krs-155.130"},"notice":"GroundRules: Original legal text.
