{"data":{"id":"us-ky/krs-164.746","jurisdiction":"us-ky","citation":"KRS 164.746","heading":"Board of directors -- Membership -- Terms -- Vacancies -- Officers and","body":"employees -- Compensation -- Meetings -- Bylaws, policies, and administrative\nregulations -- Power to adopt Model Procurement Code.\n(1) The authority shall be governed, all of  its powers shall be exercised, and its duties\nand functions shall be performed by a board of directors.\n(a) Voting members of the board shall consist of ten (10) members who shall be\nappointed from the general public residing in the Commonwealth of Kentucky\nby the Governor from nominees submitted by the Governor's Postsecondary\nEducation Nominating Committee under KRS 164.005.\n(b) In addition, the president of the Council on Postsecondary Education, the\npresident of the Association of Independent Kentucky Colleges and\nUniversities, the State Treasurer, the commissioner of education, and the\nsecretary of the Finance and Administration Cabinet, or their designees who\nshall be another official of the same cabinet or agency, shall serve as voting\nex officio members.\n(c) The term of office of appointed members shall be four (4) years. Each\nmember shall serve for the term for which he or she is appointed and shall\nserve until his or her successor is appointed.\n(2) Appointments to fill vacancies on the board shall be made in the same manner as\nregular appointments. The person appointed shall hold the position for the\nunexpired portion of the term only.\n(3) The board shall elect from its voting membership a chair, chair -elect, and secretary-\ntreasurer who shall each s erve for a term of one (1) year. At the conclusion of the\nchair's term of office, the chair -elect shall become the chair for the succeeding year\nand the board shall elect from its voting membership a new chair-elect.\n(4) Board members, except officers or e mployees of the state, shall receive\ncompensation for their services, in the amount of one hundred dollars ($100) per\nday, and may be reimbursed for actual and necessary expenses incurred in the\nperformance of their duties under KRS 164.740 to 164.785.\n(5) The board shall provide for the holding of regular meetings and special meetings.\n(a) A majority of the voting members shall constitute a quorum for the\ntransaction of any business, special meetings shall be called by the chair in\naccordance with KRS 61.8 23, and either the chair or the chair -elect shall be\npresent for the transaction of any business.\n(b) In lieu of personal attendance by members of the board at the same location,\nthe board may conduct meetings by teleconference or other available\ntechnological means suitable for conducting its business. Meetings of the\nboard shall be open and accessible to the public in accordance with KRS\n61.805 to 61.850, and any alternate method of conducting a meeting in lieu of\npersonal attendance shall ensure public access.\n(6) The board shall adopt bylaws and policies governing it s internal affairs and the\nconduct of its business, and shall adopt administrative regulations pursuant to KRS\nChapter 13A, not inconsistent with law, in connection with the administration of the\nauthority's programs and the performance of its functions and duties.\n(7) The board may:\n(a) Appoint such officers and employees as necessary and may fix their\ncompensation, and shall prescribe their duties notwithstanding personnel\nlimits established by KRS 18A.010 or the biennial budget and its related\ndocuments; and\n(b) Adopt the provisions of KRS 45A.345 to 45A.460, pursuant to KRS 45A.343.","path":["KRS Chapter 164"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=54459","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:51:17Z","sha256":"19c02b5f3d79e560a8bd76f8f55359a18f02be398649539106e083bc518b1e0d","source_id":"us-ky","stale":false,"prev":"us-ky/krs-164.744","next":"us-ky/krs-164.748"},"notice":"GroundRules: Original legal text.
