{"data":{"id":"us-ky/krs-271b.10-020","jurisdiction":"us-ky","citation":"KRS 271B.10-020","heading":"Amendment by board of directors.","body":"Unless the articles of incorporation provide otherwise, a corporation's board of directors\nmay adopt one (1) or more amendments to the corporation's articles of incorporation\nwithout shareholder action:\n(1) To extend the duration of the corporation if it w as incorporated at a time when\nlimited duration was required by law;\n(2) To delete the names and addresses of the initial directors;\n(3) To delete the name and address of the initial registered agent or registered office, if\na statement of change is on file with the Secretary of State;\n(4) To delete the mailing address of the corporation's initial principal office if the\nstatement containing the mailing address of new principal office is on file with the\nSecretary of State;\n(5) To change each issued and uni ssued authorized share of an outstanding class into a\ngreater number of whole shares if the corporation has only shares of that class\noutstanding;\n(6) To change the corporate name by substituting the word \"corporation,\"\n\"incorporated,\" \"company,\" \"limited, \" or the abbreviation \"corp.,\" \"inc.,\" \"co.,\" or\n\"ltd.,\" for a similar word or abbreviation in the name, or by adding, deleting, or\nchanging a geographical attribution for the name; or\n(7) To make any other change expressly permitted by this chapter to be made without\nshareholder action.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=13408","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:19Z","sha256":"203581634423f9c6fd20b364b2c07ecfabde0e37cfabcfc6fa237a352319daa1","source_id":"us-ky","stale":false,"prev":"us-ky/krs-271b.10-010","next":"us-ky/krs-271b.10-030"},"notice":"GroundRules: Original legal text.
