{"data":{"id":"us-ky/krs-271b.10-060","jurisdiction":"us-ky","citation":"KRS 271B.10-060","heading":"Articles of amendment.","body":"A corporation amending its articles of incorporation shall deliver to the Secretary of State\nfor filing articles of amendment setting forth:\n(1) The name of the corporation;\n(2) The text of each amendment adopted;\n(3) If an amendment provides for an exchan ge, reclassification, or cancellation of\nissued shares, provisions for implementing the amendment if not contained in the\namendment itself;\n(4) The date of each amendment's adoption;\n(5) If an amendment was adopted by the incorporators or board of director s without\nshareholder action, a statement to that effect and that shareholder action was not\nrequired; and\n(6) If an amendment was approved by the shareholders:\n(a) The designation, number of outstanding shares, number of votes entitled to be\ncast by each voting group entitled to vote separately on the amendment, and\nnumber of votes of each voting group indisputably represented at the meeting;\nand\n(b) Either the total number of votes cast for and against the amendment by each\nvoting group entitled to vote s eparately on the amendment or the total number\nof undisputed votes cast for the amendment by each voting group and a\nstatement that the number cast for the amendment by each voting group was\nsufficient for approval by that voting group.\n(7) If the amendmen t includes language converting the corporation into a nonprofit,\nnonstock corporation under KRS 273.161 to 273.387, the conversion shall be\neffective upon the filing of the amendment with the Secretary of State, and, upon\nfiling, the Secretary of State sha ll immediately forward a copy of the amendment to\nthe commissioner of revenue.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=13412","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:19Z","sha256":"4fa20256048d0cd9792190ba917ba8b8c86a38fd2b62cfb16057359c5484555d","source_id":"us-ky","stale":false,"prev":"us-ky/krs-271b.10-050","next":"us-ky/krs-271b.10-070"},"notice":"GroundRules: Original legal text.
