{"data":{"id":"us-ky/krs-271b.10-070","jurisdiction":"us-ky","citation":"KRS 271B.10-070","heading":"Restated articles of incorporation.","body":"(1) A corporation's board of directors may restate its articles of incorporation at any\ntime with or without shareholder action.\n(2) The restatement may include one (1) or more amendments to the articles. If the\nrestatement includes an amendment requiring shar eholder approval, it shall be\nadopted as provided in KRS 271B.10-030.\n(3) If the board of directors submits a restatement for shareholder action, the\ncorporation shall notify each shareholder, whether or not entitled to vote, of the\nproposed shareholders' meeting in accordance with KRS 271B.7 -050. The notice\nshall also state that the purpose, or one (1) of the purposes, of the meeting is to\nconsider the proposed restatement and contain or be accompanied by a copy of the\nrestatement that identifies any amend ment or other change it would make in the\narticles.\n(4) A corporation restating its articles of incorporation shall deliver to the secretary of\nstate for filing articles of restatement setting forth the name of the corporation and\nthe text of the restated articles of incorporation together with a certificate setting\nforth:\n(a) Whether the restatement contains an amendment to the articles requiring\nshareholder approval and, if it does not, that the board of directors adopted the\nrestatement; or\n(b) If the restatement contains an amendment to the articles requiring shareholder\napproval, the information required by KRS 271B.10-060.\n(5) Restated articles of incorporation supersede the original articles of incorporation\nand all amendments to them when the restate d articles of incorporation become\neffective pursuant to KRS 14A.2-070.\n(6) The secretary of state may certify restated articles of incorporation as the articles of\nincorporation currently in effect, without including the certificate information\nrequired by subsection (4) of this section.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=36650","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:19Z","sha256":"90ba80c1f8e256abf97020d38902b54bbe001e5d476b7ce47d9abe9808de53d3","source_id":"us-ky","stale":false,"prev":"us-ky/krs-271b.10-060","next":"us-ky/krs-271b.10-080"},"notice":"GroundRules: Original legal text.
