{"data":{"id":"us-ky/krs-271b.10-220","jurisdiction":"us-ky","citation":"KRS 271B.10-220","heading":"Bylaw increasing quorum or voting requirements for directors.","body":"(1) A bylaw that fixes a greater quorum or voting requirement for the board of directors\nmay be amended or repealed:\n(a) If originally adopted by the shareholders, only by the shareholders; or\n(b) If originally adopted by the board of directors, either by the shareholders or by\nthe board of directors.\n(2) A bylaw adopted or amended by the shareholders that fixes a greater quorum or\nvoting requirement for the board of directors may provide that it may be amended or\nrepealed only by a specified vote of either the shareholders or the board of directors.\n(3) Action by the board of directors under subsection (1)(b) of this section to adopt or\namend a bylaw that changes the quorum or voting requirement for the board of\ndirectors shall meet the same quorum requirement and be adopted by the same vote\nrequired to take action under the quorum and voting requirement then in effect or\nproposed to be adopted, whichever is greater.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=13417","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:19Z","sha256":"67f8e3e94d59a5ca537b63867a489f074be57542a57dc5ea4db4a12551dbab10","source_id":"us-ky","stale":false,"prev":"us-ky/krs-271b.10-200","next":"us-ky/krs-271b.11-010"},"notice":"GroundRules: Original legal text.
