{"data":{"id":"us-ky/krs-271b.11-050","jurisdiction":"us-ky","citation":"KRS 271B.11-050","heading":"Articles of merger or share exchange.","body":"(1) After a plan of merger or share exchange is approved by the shareholders, or\nadopted by the board of directors if shareholder approval is not required, the\nsurviving or acquiring corporation shall deliver to the Secretary of State for filing\narticles of merger or share exchange setting forth:\n(a) The names of the parties to the merger or share exchange;\n(b) The name of the surviving corporation, if a merger, or the name of the\nacquiring corporation, if a share exchange;\n(c) If a merger, the information required by KRS 271B.11-010(2)(c);\n(d) If a merger, any amendment to the articles of incorporation of the surviving\ncorporation;\n(e) If a share exchange, the information required by KRS 271B.11-020(2)(c);\n(f) If shareholder approval was not required, a statement to that effect; and\n(g) If approval of the shareholders of one (1) or more corporations party to the\nmerger or share exchange was required:\n1. The designation, number of outstanding shares, and number of votes\nentitled to be cast by each voting group entitled to vote separately on the\nplan as to each corporation; and\n2. Either the total number of votes cast for and against the plan by each\nvoting group entitled to vote separately on the plan or the total number\nof undisputed votes cast for the plan separately by each voting group and\na statement that the number cast for the plan by each voting group was\nsufficient for approval by that voting group.\n(2) A merger or share exchange shall take effect upon the effective date of the articles\nof merger or share exchange.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=44322","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:19Z","sha256":"d41eb4b4b45c70b9fefa0c71575491d9724326ef70dba8d2748f000b4835b91a","source_id":"us-ky","stale":false,"prev":"us-ky/krs-271b.11-040","next":"us-ky/krs-271b.11-060"},"notice":"GroundRules: Original legal text.
