{"data":{"id":"us-ky/krs-271b.13-220","jurisdiction":"us-ky","citation":"KRS 271B.13-220","heading":"Dissenters' notice.","body":"(1) If proposed corporate action creating dissenters' rights under KRS 271B.13 -020 is\nauthorized at a shareholders' meeting, the corporation shall deliver a written\ndissenters' notice to all shareholders who satisfied the requirements of KRS\n271B.13-210.\n(2) The dissenters' notice shall be sent no later than ten (10) days after the date the\nproposed corporate action was authorized by the shareholders, or, if no shareholder\nauthorization was obtained, by the board of directors, and shall:\n(a) State where the pay ment demand must be sent and where and when\ncertificates for certificated shares must be deposited;\n(b) Inform holders of uncertificated shares to what extent transfer of the shares\nwill be restricted after the payment demand is received;\n(c) Supply a form  for demanding payment that includes the date of the first\nannouncement to news media or to shareholders of the terms of the proposed\ncorporate action and requires that the person asserting dissenters' rights certify\nwhether or not he acquired beneficial ownership of the shares before that date;\n(d) Set a date by which the corporation must receive the payment demand, which\ndate may not be fewer than thirty (30), nor more than sixty (60) days after the\ndate the notice provided in subsection (1) of this section is delivered; and\n(e) Be accompanied by a copy of this subtitle.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=13438","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:19Z","sha256":"8243adebf427dcab0f957719b8ae119bc0be221f335bd106e1bf423014ca0c16","source_id":"us-ky","stale":false,"prev":"us-ky/krs-271b.13-210","next":"us-ky/krs-271b.13-230"},"notice":"GroundRules: Original legal text.
