{"data":{"id":"us-ky/krs-271b.13-270","jurisdiction":"us-ky","citation":"KRS 271B.13-270","heading":"After-acquired shares.","body":"(1) A corporation may elect to withhold payment required by KRS 271B.13-250 from a\ndissenter unless he was the beneficial owner of the shares before the date set forth in\nthe dissenters' notice as the date of the first announcement to news media or to\nshareholders of the terms of the proposed corporate action.\n(2) To the extent the corporation elects to withhold payment under subsection (1) of\nthis section, after taking the proposed corporate action, it shall estimate the fair\nvalue of the shares, plus accrued interest, and shall pay this amount to each\ndissenter who agrees to accept it in full satisfaction of his demand.
