{"data":{"id":"us-ky/krs-271b.13-280","jurisdiction":"us-ky","citation":"KRS 271B.13-280","heading":"Procedure if shareholder dissatisfied with payment or offer.","body":"(1) A dissenter may notify the corporation in writing of his own estimate of the fair\nvalue of his shares and amount of interest due, and demand payment of his estimate\n(less any payment under KRS 271B.13 -250), or reject the corporation's offer under\nKRS 271B.13-270 and demand payment of the fair value of his shares and interest\ndue, if:\n(a) The dissenter believes that the amount paid under KRS 271B.13 -250 or\noffered under KRS 271B.13-270 is less than the fair value of his shares or that\nthe interest due is incorrectly calculated;\n(b) The corporation fails to make payment under KRS 271B.13 -250 within sixty\n(60) days after the date set for demanding payment; or\n(c) The corporation, having failed to take the proposed action, does not return the\ndeposited certifica tes or release the transfer restrictions imposed on\nuncertificated shares within sixty (60) days after the date set for demanding\npayment.\n(2) A dissenter waives his right to demand payment under this section unless he shall\nnotify the corporation of his d emand in writing under subsection (1) of this section\nwithin thirty (30) days after the corporation made or offered payment for his shares.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=13444","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:19Z","sha256":"08665a79c18ea061be1fc1aa4ebd2dfba1336b1923e5965be290ecf041180f4b","source_id":"us-ky","stale":false,"prev":"us-ky/krs-271b.13-270","next":"us-ky/krs-271b.13-300"},"notice":"GroundRules: Original legal text.
